** a) Active Members — Commercial seed firms engaged in plant research and plant breeding gained at the development and marketing of new and improved lines, varieties and hybrids.

*** b) Associate Members — Commercial firms marketing products other than seed, or firms providing services, excluding those defined for active members, whose products or services are of such nature that the participation of such firms shall, in the judgment of the Board of Directors, contribute substantially to the fulfillment of the purposes of the Council. Each associate member firm shall not be eligible to hold positions as officers or directors of the Council or attend meetings declared to be Executive sessions other than as invited guests. Such member shall be entitled to one vote on any matter coming before the entire Council membership. In other respects, they shall be entitled to all privileges of the Council including participation on a committee to which a representative might be properly appointed, in which case the appointed representative shall be entitled to one vote on any matter coming before that committee.
